TERMS AND CONDITIONS

1. General information
These terms regulate the access and use of the website and the online store www.vladila.com, property of Aesthetic Indesign SRL, based in Targoviste, Str. Ciprian Porumbescu, Nr. 5, Bl. C3A, Ap. 2, Dambovita county, registered with the Trade Register under number J15/58/2018, CUI 38697577.

Please read carefully the terms and conditions of use when accessing www.vladila.com, as they are applicable to any type of use. Your access and/or use of the website constitutes your acceptance of these terms and conditions and binds you to abide by them.

Definitions
Throughout this document, the following capitalized terms shall, unless the context indicates otherwise, have the meanings specified below:

User: any person who visits and/or interacts with www.vladila.com;

Seller: Aesthetic Indesign SRL

Buyer: any major natural person or legal entity who places an order in the online shop www.vladila.com and who has accepted the terms and conditions of use of the site and, implicitly, of this remote contract.

Online Shop : web pages belonging to S.C Aesthetic Indesign SRL which is located at www.vladila.com, through which the Buyer has access to information on products offered for sale by the Seller.

Goods: products made available to the buyer for sale by the seller through the Online Shop.

Online Order: online communication between the Seller and the Buyer, whereby the Buyer purchases goods from the Seller, which the Seller agrees to deliver and the Buyer agrees to pay for.

Order confirmed: Order placed online via the Online Store www.vladila.com by a buyer whose identification data and details of his order have been validated by telephone following contact between him and the Seller’s customer support operator.

New Customer: a customer who intends to purchase products from the Seller’s online store for the first time and who requires a telephone order validation by the customer support operator designated by Seller.

Conclusion of distance contracts
Any confirmed order has the effect of concluding a distance contract between the Seller and the Buyer, according to the legal provisions and these terms and conditions.

The distance contract is concluded between the Buyer and S.C Aesthetic Indesign SRL, as Seller, within the framework of this sales system organized by S.C Aesthetic Indesign SRL, using exclusively, before and at the conclusion of this contract, the distance communication technique contained in the Online Shop;

The moment of conclusion of the remote contract is the moment of receipt of the confirmation message by the Buyer from the Seller regarding the acceptance of the order.

In case of any error in the transmission of the data necessary for the processing of your order, you have at your disposal the following e-mail address office@vladila.ro. We do not assume responsibility for situations arising from the transmission by you of erroneous data or information.

Placing orders
Orders can be placed online at any time, but the order processing period takes place daily during working hours, Monday to Friday from 09:00-18:00. Orders placed on Saturdays, Sundays and public holidays will be processed on the next working day.

In the case of New Customers, Seller accepts orders placed by Buyers only after confirmation it by telephone or by e-mail. Once the Online Order is placed, the Buyer agrees to the form of further communication (telephone or electronic), as well as the Seller’s mode of operation.

The Buyer is solely responsible for the graphics, sketches or any other material/information provided to the Seller for the purpose of producing the products covered by this contract, the Seller not being responsible for the manner in which they have been acquired or are to be used, nor for situations such as infringement of intellectual property rights of third parties. To the extent that the purpose or the manner of acquisition are unlawful, the Buyer shall be personally and exclusively liable before the competent authorities, the Seller being exonerated from any kind of fault.

The Buyer understands that, in certain situations, the rendering of colours and patterns on the monitor may not accurately reflect the final products due to the different calibrations of the technical equipment used. The Buyer thus assumes any differences between the products displayed on the site and the product purchased, the Seller being exonerated from any liability.

For the successful completion of the order process the Buyer assumes that all contact details provided by the Buyer are complete and correct. For an online order with delivery by courier, customers will be contacted by Customer Support for telephone confirmation of the order.

The Seller reserves the right not to accept or to cancel the Order placed by the Buyer, without either party being entitled to claim or demand damages,  in one of the following cases:

If the payment was not accepted by the payment processor – the data provided by the customer is incorrect/incomplete;
The card/transaction is not accepted by the issuing bank;
Payment made by PO (bank transfer/internet banking), was not made within 3 working days from the date of placing the order;
Delivery was not possible (e.g. the customer cannot be reached by the courier by phone and/or physically at the address indicated for delivery of the purchased goods, etc.);
Aesthetic Indesign reserves the right to make access to certain features of the Online Shop conditional upon the prior creation of a user account.

Obligations Seller
The Seller provides the Buyer, free of charge, with information on its products and services, in order to achieve the purpose mentioned in the Online Order. The content published in the Online Shop is indicative and presents information about the products sold by the Seller, as well as other data considered by the Seller as being of interest to the Buyers.

The characteristics of the products and the related technical documentation presented on the website are provided by Aesthetic Indesign and offers technical support for their display.

The seller constantly endeavours to present the most accurate and relevant information for the products offered for sale. If prices or other product information have been incorrectly displayed, we reserve the right to not to honour the order and to notify the Buyer of the error if delivery has not been made.

The images of the products are displayed in the online shop for presentation purposes. The products actually ordered may differ in some characteristics (e.g. colour shades) from the actual appearance of the product, depending on the batch in which they were manufactured.

In order to carry out the remote contract in good conditions, Aesthetic Indesign, on the basis of the agreement expressed by the client, may contact the client by e-mail or telephone, in order to obtain the necessary information to complete the online order process.

Product pricing. Methods of payment
The price of products ordered is the one displayed on the website at the time of placing the order and can be paid cash on delivery, through the payment processors used by the Seller or by bank transfer. The Seller reserves the right to limit the Buyer’s rights to pay for the products in cash, upon delivery, depending on the order value or other such factors.

The prices of the products displayed on the website www.vladila.com include T V A. according to the legislation in force.

The customer is obliged to provide complete and correct data, necessary to issue the invoice according to the legislation in force. Failure to provide this information makes it impossible to process the order and conclude the contract.

Aesthetic Indesign will send to the customer the invoice related to the order, both in electronic format, available online in the “Customer Account” and in physical format, a once the Goods are delivered. If the invoice is not available in the customer’s account within 48 hours of receipt of the goods, please contact us at office@vladila.ro.

Promotions and discount campaigns are valid:

for limited periods of time, specified on the product presentation page of the Online Shop;
within the limits of available stocks.
The Seller cannot be held responsible for any damage created by the information published in the Online Shop due to errors that are not his responsibility, nor for any errors regarding stocks and availability of products.

In the case of orders paid electronically, the Seller cannot be held responsible for any other costs incurred by the Buyer, such as transaction fees, currency conversion fees (if payment is not made in lei) applied by the bank issuing the Buyer’s card or by the payment processor. The Buyer is solely responsible for this action. The entire responsibility lies with the Customer and any disputes will be settled between the Customer and the card issuing bank.

All financial transactions and payments made for the purchase of products in the Online Shop are processed by external payment processors and stored on their servers, which are responsible for the security of transactions made with the Buyer’s card. Intellectual Property Rights
Aesthetic Indesign SRL is the exclusive owner of the registered trademark VLAdiLA and VLAdiLA Kids, as well as of all intellectual property rights on the online shop, collections, models, design, site functionalities, images and technical specifications, which are protected, under the law, by copyright or other intellectual property rights.

All names, trademarks, trade names, logos, logos, logos, designs, designs, graphic works and the like are protected by applicable intellectual property rights. Nothing contained on this site should be construed as granting any license or right of use without the written permission of the Seller.

The content of the Aesthetic Indesign website including, but not limited to, graphics, names, trademarks (such as, for example: Aesthetic Indesign website and company name, symbols, images, texts, multimedia files) are the property of Aesthetic Indesign SRL and may not be taken and/or used without the prior written consent of the owner.

Visitors to this site may copy information from this site for personal, non-commercial use only and without deletion or modification. Modification or use of materials on this site for purposes other than informational purposes, i.e. use as a customer, is strictly prohibited. Any partial or total takeover of the content (any kind of information, texts, pictures, databases, products, prices, logos, advertisements, etc.) without the consent of the owner is strictly forbidden and will be sanctioned by the legislation on intellectual property rights.

By accessing this site, visitors agree that any names, logos, trademarks or service marks, texts, documents and media files presented on this site are owned by Aesthetic Indesign and may not be used by the user, except for informational purposes. Aesthetic Indesign will use all legal means to take action if intellectual property rights and copyrights are infringed.

Any unauthorized modification of the site is prohibited.

Using the Site
In certain areas of the site visitors can submit text, files, images, pictures, video files, audio files or other user-generated material. Aesthetic Indesign reserves the right to remove any user-generated content that does not comply with the terms below. In this regard, users agree to abide by the following:

not to submit content that is unlawful, defamatory, libellous, defamatory, obscene, threatening, harassing, abusive, racist or infringing of intellectual property rights or other material that could constitute or encourage conduct that could be considered a criminal offence;
not to send any personal information or violate the privacy of another individual in any way, including by sending their personal data;
not upload any software material to the site, links or files that contain viruses, corrupted files or any other similar software or programs that may adversely affect the operation of the site or elements of the site;
not modify in any way the source code of the site or other technologies or applications contained in the site, unless expressly authorized in writing by Aesthetic Indesign.
Limitation of Seller’s liability for use of www.vladila.com
By accessing the site you agree that use is at your own risk. Aesthetic Indesign is not responsible for any direct or indirect incident or any other loss, cost or expense of any nature whatsoever which may occur as a result of accessing or browsing the site or through downloads of data (text, images, video or audio).

Aesthetic Indesign is also not responsible for any damage caused by viruses, bugs, human actions or any computer system malfunction or any other errors, failures or communication delays in transmissions on the devices. We also cannot guarantee that our website will be error-free or that there will be no errors or omissions in its content. We also cannot guarantee that the website and its content will be accessible at all times without interruption. We will not be liable in the event that the website cannot be accessed, regardless of the reason for the impossibility of access and regardless of the duration of such impossibility.

All information and materials contained on this site are provided free of charge, without any warranty of any kind. Under no circumstances shall Aesthetic Indesign be liable for any direct, indirect, incidental, special or consequential damages arising out of the use or inability to use this site and shall not be liable for any damages whatsoever resulting from errors, omissions, interruptions, mistakes, defects, delays in operation or transmission or any failure of performance of the site.

With the creation and use of the customer account, the user is responsible for maintaining the confidentiality of the login data. The user will keep the confidentiality of the user and password and will use it responsibly for the management of orders and facilities provided in the customer account.

By accessing the site, creating a user account and placing orders, the customer expressly and unequivocally accepts the Terms and Conditions of the site and the conditions under which the online ordering process is carried out, as presented on the site.

Aesthetic Indesign shall not be liable for any damages resulting from the loss or destruction of the purchased Goods or from the use of the Goods after delivery, except for legal and conventional warranties granted.

Risks and Responsibilities. Warranty
The Seller is responsible for the proper packaging of the goods and the delivery of the products ordered by the Buyer.

Ownership and the risk of loss of the Goods is transferred to the buyer when the Goods are actually handed over.

The Seller warrants VLAdiLA brand products and VLAdiLA brand accessories against material defects when the product is assembled and used in accordance with the technical specifications and other instructions of the Seller. To ensure the validity of the warranty, please consult and follow VLAdiLA’s instructions and specifications, both during assembly and afterwards, for the entire life of the product. The products benefit from a warranty period of 2 (two) years from the date of purchase.

This warranty does not apply

products not bearing the VLAdiLA trademark
for consumable items, such as adhesive used in the assembly process or other items that are designed to diminish over time, unless the failure occurred due to material-related defects;
for cosmetic damage, including but not limited to scratches, stains, occurring after delivery, unless the defect occurred due to material defects;
for damage caused by the use of third party items/products that do not meet VLAdiLA product specifications;
for defects and/or damage caused by accident, misuse or misuse, fire, contact with liquids, earthquakes or other external causes, improper installation, abuse, accident, human error or extreme weather conditions, severe temperature variations, direct exposure to dust, sunlight, snow or rain, wide variations in humidity, fire, flood, storm, tornado or other natural hazards;
for defects and/or damage caused as a result of using the products without complying with the technical specifications, instructions or maintenance recommendations communicated or published by the Seller, as a result of improper use or the use of improper cleaning agents or methods or failure to comply with regular household maintenance and cleaning procedures;
for damage caused by installation and/or repairs carried out by persons who are not authorised installation service providers or representatives of the Seller;
for a product that has not been used according to its intended purpose and technical specifications;
for defects caused by normal wear and tear or otherwise caused by normal wear and tear of the VLAdiLA Products;
natural variations in the colour and texture of the wallpaper backing;
slight expansion or contraction due to different environmental conditions, weight, temperature and humidity variations,
Delivery and Acceptance of Goods
The Seller undertakes to deliver the goods to the Buyer by means of approved courier companies or Aesthetic Indesign’s own means of transport .

Delivery of goods can be made internationally. Where appropriate, the Seller may charge additional freight costs, with prior notification to the Buyer.

The Buyer has the right not to accept the delivered goods if they do not comply with the technical details specified on the product page. In this case, the Seller assumes responsibility for bringing the products into conformity, in accordance with the conditions for granting the guarantee indicated in these Terms and Conditions.

The buyer will take possession of the goods after signing the transport document and making the payment (if not previously made by credit card or bank transfer) to the courier or Aesthetic Indesign staff.

Return policy
12.1.Custom Products
Customised products, i.e. wallpaper made according to the express requirements of the Buyer (depending on the dimensions provided and the materials selected by the customer), as well as wallpapers, textiles or furniture made to order based on the design desired by the customer, cannot be returned. These products represent, for the purposes of Art. 16 lit. c) of GEO no. 34/2014, products made according to the specifications presented by the consumer or clearly personalized, being exempted from the right of withdrawal recognized by law to the consumer.

12.2.Standard Products
Most of our products are made to order by the Buyer, taking into account the specifications and needs of the Buyer, Aesthetic Indesign has limited stocks of standard products. However, in the case of standard (non-customised) wallpaper you have the right to withdraw from this contract, without stating reasons, within 14 days of receipt of the Goods ordered. The withdrawal period expires 14 days after the day of delivery of the Goods to you.

In order to exercise your right of withdrawal you must inform us by e-mail to office@vladila.com of your decision to withdraw from this contract. To this end, please provide us with information regarding your name, contact details and the order placed, as well as information regarding the bank account to which you would like the refund to be made, before the 14-day period expires. Refunds cannot be made in cash, regardless of how you paid for your order. The seller will not charge you any fees as a result of such a refund, except for the fees charged by your bank, for which we bear no responsibility.

If you withdraw from the contract, we will refund any amount we have received from you, from which we will deduct the transport fee. The refund will be made by us no later than 14 days from the date of receipt of the goods returned by you.

In order to be able to make a refund, the products must be returned in the same condition in which they were delivered to you, rolled and packed in the same way and in the same condition in which they were delivered to you. We do not accept returns of products that show signs of wear, application/peeling, stains, tears, bent edges, burns, cracks and the like.

Please note that, according to Art. 14 para. (3) of GEO no. 34/2014, the consumer is responsible for the decrease in the value of products resulting from their handling. Thus, we inform you that the returned products will be received and checked by our representatives upon pick-up, and the value of the qualitative losses of the products will be deducted from the amount to be refunded.

Modification of Terms and Conditions
Aesthetic Indesign reserves the right to change at any time the terms and conditions of the website and the general conditions under which the online ordering process takes place.

The customer confirms that they accept these terms and conditions by ticking the “I agree to the terms and conditions” checkbox. The concluded distance contract is carried out under the terms and conditions valid at the date of the agreement of wills.

Litigation. Applicable law
Contractual relations between the parties are governed by Romanian law. Any dispute that cannot be resolved amicably will be referred to the competent courts for resolution.

The information provided on this site is in English. The sales contract is concluded in English and is subject to Romanian law.

The provisions of this distance contract are supplemented by the applicable law.
